1. Agreement to these Terms
These Terms of Service (“Terms”) govern your access to and use of Guidelane’s website, application, APIs, and related services (the “Service”) provided by Haus8 LLC (“Guidelane”, “we”, or “us”). By creating an account, accessing, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
If you do not agree to these Terms, do not use the Service.
2. The Service
Guidelane is a platform for creating, managing, and sharing structured step-by-step guides, with optional AI assistance (including generation, vision-assisted extraction, Q&A, semantic search, and the Sage assistant), collaboration features (organizations, teams, collections, comments, mentions), sharing and embeds, API access (on eligible plans), billing/entitlements, and optional integrations.
The Service is under active development. Features, limits, and availability may change. We may modify, suspend, or discontinue parts of the Service with or without notice, subject to applicable law and any separate written customer agreement.
3. Accounts and eligibility
You must be at least 18 years old to use the Service. You are responsible for:
- providing accurate account information;
- maintaining the confidentiality of your credentials and API keys;
- all activity under your account and keys;
- promptly notifying us of unauthorized use.
We may suspend or deactivate accounts that violate these Terms, present security risk, or are otherwise inactive or compromised. Deactivated users may be prevented from signing in.
4. Organizations, roles, and content ownership
Organizations
Much of the Service is organized around organizations. Organization administrators control membership, roles (admin, editor, viewer), invites, settings (including AI and semantic search toggles where available), billing (where applicable), and certain integrations.
Your content
You retain ownership of content you submit to the Service (“Customer Content”), including guides, steps, media, comments, and similar materials. You grant Guidelane a worldwide, non-exclusive license to host, store, process, transmit, display, and otherwise use Customer Content solely as needed to provide, secure, and improve the Service and as otherwise directed by you (for example, when you create a public share link or embed).
Responsibility for Customer Content
You are solely responsible for Customer Content and for ensuring you have all rights and permissions necessary to upload, process, and share it—including with AI providers and public recipients when you enable those features. You must not upload unlawful, infringing, harmful, or abusive content, or content you are not authorized to process.
5. Acceptable use
You agree not to:
- violate applicable law or third-party rights;
- attempt to gain unauthorized access to the Service, other accounts, or underlying systems;
- reverse engineer, scrape, or overload the Service except as expressly permitted by documented APIs and rate limits;
- interfere with or disrupt the Service, including by circumventing rate limiting or security controls;
- use the Service to distribute malware, spam, or deceptive content;
- misuse AI features to generate unlawful, harmful, or infringing material;
- share credentials or API keys insecurely, or use another user’s account without permission;
- use the Service in a manner that infringes intellectual property or privacy rights of others.
We may investigate suspected violations and suspend or terminate access where we reasonably believe these Terms have been breached.
6. AI features
AI features are optional and may be gated by organization settings and plan entitlements. When used:
- Customer Content and prompts may be sent to third-party AI or embedding providers configured by your organization (or limited platform-provided providers on free/fallback tiers);
- Outputs may be inaccurate, incomplete, or inappropriate; you must review Outputs before relying on them;
- Guidelane does not guarantee that Outputs are free of third-party rights claims or suitable for any particular purpose;
- you remain responsible for how you use Outputs in your guides and workflows.
You should not submit secrets, regulated data, or personal data to AI features unless you have a lawful basis and your organization’s policies allow it.
7. Sharing, public links, and embeds
The Service may allow guides to be shared within an organization, via public share links, or via embeds, subject to plan entitlements and visibility settings. Public or embeddable content may be accessed by anyone with the link. You are responsible for selecting appropriate visibility and for revoking or expiring links when needed. Guidelane is not responsible for third-party copying or redistribution of content you choose to make publicly accessible.
8. Plans, billing, and entitlements
The Service may offer free and paid plans (for example Free, Pro, and Business), with different limits on members, guides, AI usage, public sharing, API access, branding, integrations, and related features. Current plan features and prices are described in the Service and may change.
Paid subscriptions are billed through Stripe. By purchasing a paid plan, you authorize Stripe and Guidelane to charge applicable fees, taxes, and recurring amounts according to your selected plan and interval. Trials, upgrades, downgrades, cancellations, and portal management are handled according to the billing flows available in the Service and Stripe’s Customer Portal.
Unless otherwise required by law or expressly stated, fees are non-refundable. Failure to pay may result in suspension, plan reversion, or loss of paid entitlements. Feature access is enforced through entitlements associated with your organization’s subscription status.
9. API access
On eligible plans, you may create API keys to access certain Service functionality programmatically. API keys are credentials; you are responsible for their custody and for usage under those keys. We may rate-limit, revoke, or suspend API keys to protect the Service or enforce plan limits.
10. Third-party services
The Service depends on or may integrate with third-party services (including hosting, storage, authentication, payments, AI providers, rate limiting, error monitoring, and optional tools such as Jira). Your use of those services may be subject to their own terms and privacy policies. Guidelane is not responsible for third-party services it does not control.
11. Intellectual property
The Service, including software, branding, documentation, and UI, is owned by Guidelane and its licensors and is protected by intellectual property laws. Except for Customer Content and rights expressly granted in these Terms, no rights are transferred to you. You may not copy, modify, or create derivative works of the Service except as permitted by law or written agreement.
Feedback you provide about the Service may be used by Guidelane without obligation to you.
12. Privacy
Our collection and use of personal data is described in our Privacy Policy. By using the Service, you acknowledge that Privacy Policy.
13. Suspension and termination
You may stop using the Service at any time. You may delete (anonymize) your own user account where that self-service capability is available. Organization administrators control membership within their organization; organization deletion may not be available as self-service.
We may suspend or terminate access immediately if you materially breach these Terms, create risk to the Service or other users, fail to pay fees, or if required by law. Upon termination, your right to access the Service ends. Provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, and indemnity) will survive.
14. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUIDELANE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR AI OUTPUTS WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR ACCURATE.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUIDELANE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUIDELANE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO GUIDELANE FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED US DOLLARS (US $100) IF YOU HAVE NOT PAID ANY AMOUNTS.
Some jurisdictions do not allow certain limitations; in those cases, the above limitations apply only to the extent permitted.
16. Indemnity
You will defend, indemnify, and hold harmless Guidelane and its affiliates from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your Customer Content; (b) your use of the Service in violation of these Terms or law; (c) your misuse of AI features or public sharing features; or (d) your infringement of third-party rights.
17. Changes to the Service or Terms
We may update these Terms from time to time. When we do, we will post an updated version and effective date. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms, to the extent permitted by law. If you do not agree, you must stop using the Service.
18. Governing law and disputes
These Terms are governed by the laws of [Governing Law / Venue], without regard to conflict-of-law principles. Courts located in [Venue] will have exclusive jurisdiction over disputes arising out of these Terms, except where mandatory consumer protection laws provide otherwise.
